I Acceptance of Terms
These Terms of Service ("Terms," "Agreement," or "Covenant") constitute a legally binding contract between you ("User," "you," "your," or "the Observer") and Megabyte Labs Mission ("we," "us," "our," or "the Organization"), a nonprofit technology initiative operating out of St. John's Soup Kitchen in Newark, New Jersey -- the storied municipality known to its residents as Brick City.
By accessing, browsing, or otherwise interacting with our website at mission.megabyte.space ("the Site") or any of our associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. This acknowledgment is effective upon first observation of the Site -- the moment your browser renders our content, the quantum state of this agreement collapses from superposition into binding commitment.
If you do not agree to these Terms, you must discontinue use of the Site and all Services immediately. No partial acceptance is permitted. These Terms apply across all known and theorized planes of existence in which the Site is accessible, whether perceived through biological, synthetic, or quantum-entangled consciousness, and regardless of the observer's position in spacetime.
Capacity to Contract: By using the Site, you represent and warrant that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction), or that you are accessing the Site under the supervision of a parent or legal guardian who has agreed to these Terms on your behalf. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
II Definitions
To ensure dimensional continuity and interpretive consistency across all jurisdictions -- temporal, spatial, or otherwise -- the following definitions apply throughout this Agreement:
- "Site" means the website located at
mission.megabyte.space, including all pages, content, functionality, and subdomains operated by the Organization. - "Services" means, collectively, the Site, the contact form, the newsletter, the community hotline at (262) 6UNIQUE, donation processing, community programs at St. John's Soup Kitchen, and all other offerings provided under the Megabyte Labs Mission banner.
- "Content" means all text, images, graphics, photographs, video, audio, data, software, code, designs, logos, trademarks, and other materials displayed on, embedded in, or made available through the Site.
- "User Content" means any information, messages, feedback, or other materials you submit to us through the Site or Services.
- "Donation Portal" means the payment processing interfaces accessible at donate.megabyte.space and njsk.org.
- "Intellectual Property" means all patents, copyrights, trademarks, service marks, trade dress, trade secrets, domain names, and other proprietary rights recognized under the laws of any jurisdiction.
III Use of Website & Services
A. Permitted Use
The Site is provided for informational purposes about Megabyte Labs Mission, our community work at St. John's Soup Kitchen, our technology initiatives, and the services we offer to the people of Brick City and beyond. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes in accordance with these Terms.
B. Prohibited Conduct
You agree not to engage in any of the following activities, whether executed manually, through automated means, or via any mechanism -- temporal, dimensional, or otherwise:
- Using the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation.
- Attempting to gain unauthorized access to any portion of the Site, its servers, databases, or any connected systems or networks.
- Introducing viruses, trojans, worms, logic bombs, ransomware, or other malicious or technologically harmful material.
- Engaging in any activity that disrupts, interferes with, degrades, or impairs the performance or availability of the Site or any associated infrastructure.
- Scraping, crawling, harvesting, or otherwise systematically extracting data from the Site without our prior written consent, except as expressly permitted by our
robots.txtfile. - Impersonating any person or entity, or falsely representing your affiliation with any person or entity.
- Using the Site to transmit unsolicited advertising, promotional material, spam, or chain communications.
- Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code of any software used in the operation of the Site.
- Circumventing, disabling, or interfering with any security features of the Site, including Cloudflare's protection systems.
- Using the Site in any manner that could damage our reputation or the reputation of St. John's Soup Kitchen.
C. Account Termination & Access Restriction
We reserve the right, in our sole discretion and without notice or liability, to restrict, suspend, or terminate your access to the Site or any Services for any reason, including but not limited to a breach of these Terms. Such action may be taken at any point in the spacetime continuum without prior warning.
IV Contact Form & Newsletter Submissions
A. Contact Form
When you submit information through our contact form, you represent and warrant that:
- All information you provide is accurate, truthful, current, and complete.
- You will not submit content that is defamatory, obscene, threatening, harassing, discriminatory, or otherwise unlawful or objectionable.
- You will not use the contact form to submit spam, phishing attempts, solicitations, or commercial advertising.
- You will not submit any content that infringes upon the intellectual property rights of any third party.
- Your submission grants us the right to use the information provided to respond to your inquiry, route your message to appropriate team members, and follow up as necessary to fulfill our community mission.
Contact form submissions are processed through Cloudflare Workers and delivered to our team via the Resend email API. We reserve the right to decline to respond to any submission at our sole discretion.
B. Newsletter
By subscribing to our newsletter, you consent to receive periodic communications from Megabyte Labs Mission, including updates about our programs, community events, volunteer opportunities, impact reports, and organizational news. Our newsletter is managed through our self-hosted Listmonk platform and delivered via Resend.
- You may unsubscribe from the newsletter at any time by clicking the "unsubscribe" link included in every newsletter email, or by contacting us at brian@megabyte.space.
- We will process unsubscribe requests within five (5) business days.
- Unsubscribing from the newsletter does not terminate your agreement to these Terms with respect to continued Site usage.
V Hotline Services
Megabyte Labs Mission operates a community support hotline at (262) 686-4783, also reachable by dialing (262) 6UNIQUE. This hotline is provided as a community resource through our partnership with St. John's Soup Kitchen.
CRITICAL NOTICE -- NOT AN EMERGENCY SERVICE: The (262) 6UNIQUE hotline is not an emergency service. It is not a substitute for 911, crisis intervention hotlines, suicide prevention lifelines, poison control, or any other emergency response system. If you are experiencing a life-threatening emergency, dial 911 immediately.
By using the hotline, you acknowledge and agree that:
- The hotline provides general community information, resource referrals, and non-emergency support related to the services offered by Megabyte Labs Mission and St. John's Soup Kitchen.
- Hotline operators are community volunteers and staff, not licensed medical professionals, attorneys, therapists, or certified counselors, unless specifically identified as such.
- Information provided through the hotline is for general guidance only and does not constitute professional advice of any kind -- legal, medical, financial, psychological, or otherwise.
- Calls may be logged for quality assurance, training, and service improvement purposes. By calling, you consent to such logging.
- We do not guarantee hotline availability 24 hours a day, 7 days a week. Operating hours may vary.
- We reserve the right to terminate any call that is abusive, threatening, harassing, or otherwise disruptive.
VI Donation Processing
Megabyte Labs Mission gratefully accepts charitable donations through the Donation Portal at donate.megabyte.space and njsk.org. Every contribution, regardless of size, directly fuels our work serving the community of Brick City -- from hot meals at St. John's Soup Kitchen to AI-powered technology initiatives.
- Payment Processing: All donations are processed by Square, Inc. We never receive, process, store, or have access to your full credit card number, CVV, expiration date, or banking credentials. Square operates in compliance with PCI-DSS (Payment Card Industry Data Security Standard).
- Donation Receipts: We will provide donation receipts as required by applicable tax law. Donation records are retained for a minimum of seven (7) years as required by IRS regulations for tax-exempt organizations.
- Refund Policy: Donations are generally non-refundable, as they are charitable contributions. In exceptional circumstances, refund requests may be submitted to brian@megabyte.space within thirty (30) days of the donation date and will be evaluated on a case-by-case basis.
- Recurring Donations: If you establish a recurring donation, you may cancel it at any time by contacting us. Cancellation will take effect before the next scheduled payment.
- Tax Deductibility: The tax deductibility of your donation depends on the Organization's current tax-exempt status and applicable tax law. Please consult your tax advisor for specific guidance.
- Donor Privacy: We respect donor privacy. We will not publish, sell, or share your name, donation amount, or personal information without your explicit consent, except as required by law.
VII Intellectual Property
The Content of the Site -- every line of code, every pixel of design, every word of copy -- represents the creative output of Megabyte Labs Mission and its contributors. Like the schematics of a spacecraft, these materials are the product of deliberate engineering and are protected accordingly.
A. Our Intellectual Property
All Content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code, and software, is the property of Megabyte Labs Mission or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The Megabyte Labs Mission name, logo, taglines, and all related names, logos, product and service names, designs, and slogans are trademarks of the Organization. You must not use such marks without our prior written permission.
B. Limited License
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Content solely for your personal, non-commercial use. This license does not include the right to:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content.
- Use any data mining, robots, or similar data gathering or extraction methods.
- Download (other than page caching) any portion of the Site or any Content, except as expressly permitted.
- Use the Site or Content for any commercial purpose or for the benefit of any third party.
This license terminates automatically upon any breach of these Terms.
C. Open Source Attribution
Certain components of our technology stack may be open-source software governed by their respective licenses. Nothing in these Terms restricts or modifies rights granted under applicable open-source licenses.
VIII User-Generated Content
When you submit User Content through any of our Services -- whether through the contact form, newsletter replies, hotline calls, or any other channel -- the following terms apply:
- License Grant: By submitting User Content, you grant Megabyte Labs Mission a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media, solely in connection with operating and improving our Services and advancing our nonprofit mission.
- Representations: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit User Content and to grant the license above, and that your User Content does not infringe upon the rights of any third party.
- No Obligation: We are under no obligation to use, display, or act upon any User Content, and we reserve the right to remove or refuse any User Content at our sole discretion.
- No Compensation: You acknowledge that you will receive no compensation, credit, or other consideration for any User Content you submit.
- Feedback: Any suggestions, ideas, enhancement requests, or feedback you provide regarding the Site or Services become the property of the Organization and may be used without restriction or compensation.
IX Disclaimer of Warranties
Like navigating the void between stars, using the internet carries inherent uncertainties. To the maximum extent permitted by applicable law:
THE SITE AND ALL SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We expressly disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- Warranties of accuracy, reliability, completeness, or timeliness of any Content, information, or materials provided through the Site or Services.
- Warranties that the Site will be uninterrupted, error-free, secure, free of viruses or other harmful components, or available at any particular time or location.
- Warranties regarding the results that may be obtained from use of the Site or Services.
- Warranties that defects will be corrected or that the Site or the servers that make it available are free of viruses or other harmful components.
No advice, information, or statement -- whether oral or written -- obtained from us or through the Site shall create any warranty not expressly stated in these Terms. Your use of the Site is at your sole risk.
Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.
X Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Megabyte Labs Mission, its officers, directors, employees, volunteers, agents, affiliates, partners, or contributors be liable for any of the following, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages:
- Indirect, incidental, special, consequential, or punitive damages of any kind, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses.
- Damages arising from: (a) your use of or inability to use the Site or Services; (b) any unauthorized access to or use of our servers or personal information stored therein; (c) any interruption or cessation of transmission to or from the Site; (d) any bugs, viruses, trojan horses, or similar harmful code transmitted through the Site by any third party; (e) any errors or omissions in any Content; (f) any User Content or conduct of any third party on the Site; or (g) any other matter relating to the Site or Services.
Aggregate Liability Cap: In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the greater of: (a) the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100.00).
The limitations in this section apply regardless of the observer's position in spacetime and across all jurisdictions -- temporal, dimensional, or otherwise -- in which this Agreement is enforceable. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
XI Indemnification
You agree to defend, indemnify, and hold harmless Megabyte Labs Mission, its officers, directors, employees, volunteers, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising from or related to:
- Your use of, access to, or interaction with the Site or Services.
- Your violation of any provision of these Terms.
- Your violation of any applicable law, rule, or regulation.
- Your violation of any third-party right, including any intellectual property, privacy, or publicity right.
- Any User Content you submit through the Site or Services.
- Any claim that your User Content caused damage to a third party.
This indemnification obligation shall survive the termination of these Terms, your use of the Site, and any dissolution of your relationship with the Organization -- persisting as surely as entropy in a closed thermodynamic system.
XII Governing Law
These Terms, and any disputes arising from or relating to them, shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law principles.
To the extent that federal law applies, the laws of the United States shall govern. In any universe where this document can be parsed by a sentient observer, the substantive protections articulated herein shall be interpreted in the spirit of New Jersey law, even if the observer's local jurisdiction has not yet adopted equivalent statutes.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms.
XIII Dispute Resolution
A. Informal Resolution
Before filing any formal legal proceeding, you agree to first contact us at brian@megabyte.space and attempt to resolve the dispute informally. We will endeavor to resolve any dispute within thirty (30) days of receipt of your written notice. Many conflicts, like quantum decoherence events, resolve themselves when observed with patience and good faith.
B. Jurisdiction & Venue
If informal resolution fails, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Essex County, New Jersey. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum, lack of personal jurisdiction, or any similar doctrine.
C. Waiver of Class Actions
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than through informal resolution, you and we each waive the right to a jury trial.
D. Time Limitation
You agree that any claim or cause of action arising from or relating to these Terms or your use of the Site must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred. This limitation applies regardless of any statute of limitations that might otherwise apply.
XIV Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If modification is not possible, the offending provision shall be severed from these Terms.
The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, which shall remain in full force and effect. Think of these Terms as a modular spacecraft: if one compartment depressurizes, the bulkheads hold and the remaining structure maintains operational integrity.
XV Entire Agreement
These Terms, together with our Privacy Policy (incorporated herein by reference), constitute the entire agreement between you and Megabyte Labs Mission with respect to your use of the Site and Services. These Terms supersede all prior or contemporaneous communications, proposals, representations, understandings, and agreements -- whether oral, written, electronic, or telepathic -- relating to the subject matter hereof.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
Any ambiguity in these Terms shall not be construed against the drafting party. Both parties acknowledge that they have had the opportunity to review and negotiate these Terms and that the rule of contra proferentem shall not apply.
XVI Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:
- Acts of God, natural disasters, earthquakes, floods, hurricanes, tornadoes, or severe weather events.
- Epidemics, pandemics, or public health emergencies.
- War, armed conflict, terrorism, civil unrest, insurrection, or riots.
- Government actions, sanctions, embargoes, or regulatory changes.
- Strikes, labor disputes, or industrial action.
- Power outages, internet service disruptions, telecommunications failures, or infrastructure collapse.
- Cyberattacks, distributed denial-of-service attacks, or other malicious interference with digital infrastructure.
- Supply chain disruptions, raw material shortages, or third-party service provider failures.
- Any event of equivalent force or magnitude, whether foreseeable or unforeseeable, including but not limited to solar flares, electromagnetic pulses, or circumstances arising from any dimension whose physical laws prevent the timely execution of obligations.
The affected party shall provide prompt notice to the other party and shall use reasonable efforts to mitigate the impact of the force majeure event and resume performance as soon as practicable.
XVII Modifications to These Terms
We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date displayed at the top of these Terms.
- Post the revised Terms on this page.
- For material changes that significantly alter your rights or obligations, we will endeavor to provide notice at least thirty (30) days before the changes take effect, through prominent display on the Site, via newsletter, or through other appropriate channels.
Your continued use of the Site or Services after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Site and Services.
We encourage you to review these Terms periodically. In the ever-shifting topology of digital governance, staying informed is your first line of defense as an observer navigating the information landscape.
